OVERVIEW

This website is operated by Residence Supply (“Residence Supply”, “we”, “us”, “our”). By visiting our site and/or purchasing from us, you engage in our “Service” and agree to be bound by these Terms & Conditions (“Terms”), including all policies referenced herein and/or available by hyperlink, including without limitation our Warranty Policy, Return Policy, Shipping Policy, Payment Policy, and Privacy Policy (collectively, the “Policies”), each of which is incorporated into these Terms by reference.

Our store is hosted on Shopify Inc., which provides the e-commerce platform we use to sell products and Services to you.


SECTION 1 – ONLINE STORE TERMS

1.1 Eligibility. You confirm you are of the age of majority in your jurisdiction, or you have parental consent for any minor dependents who use the site.
1.2 Lawful Use. You will not use the Service for any illegal purpose or violate any laws in your jurisdiction.
1.3 No Malware. You must not transmit worms, viruses, or harmful code.
1.4 Immediate Termination. Breaches may result in immediate termination of Services and/or restriction of access.


SECTION 2 – GENERAL CONDITIONS

2.1 Right to Refuse. We may refuse service to anyone at any time for any reason, to the fullest extent permitted by law.
2.2 Transfers Over Networks. Content (excluding credit card data) may be transferred unencrypted over various networks and adapted to technical requirements; payment data is always encrypted during transfer.
2.3 No Commercial Exploitation. You may not reproduce, sell, resell, or exploit any part of the Service without our express written permission.
2.4 Platform Notice. Shopify hosts our store; Shopify’s services are governed by its own terms and policies.


SECTION 3 – PAYMENT POLICY

3.1 Accepted Methods. We accept Visa, MasterCard, American Express, Discover, Apple Pay, Google Pay, PayPal, and Shopify Pay.
3.2 Immediate Authorization & Capture. Payment is processed at the time you place your order. A confirmation email is sent to the email address provided at checkout.
3.3 Security. Transactions use SSL encryption and Shopify’s secure payment processing.
3.4 Pricing & Currency. All prices are listed in USD. Any currency conversion is handled by your financial institution.
3.5 Taxes & Duties. Florida sales tax applies to qualifying orders. International customers are responsible for import duties, customs fees, brokerage fees, and local taxes.
3.6 Invoicing. An electronic invoice or receipt is provided after successful payment.
3.7 Order Changes/Cancellations. Email help@residencesupply.com within 12 hours to request a change or cancellation. After processing begins (including production queue entry), changes may not be possible and the order will be governed by our Return Policy and/or Warranty Policy, as applicable.
3.8 Declined Payments. If a payment is declined, verify details/funds and contact your bank if needed. We are not responsible for bank or provider declines.
3.9 Disputes & Chargebacks (Process). If you believe there is a billing error, delivery issue, or product concern, you agree to contact us first so we can attempt to resolve the matter. This does not limit any rights you may have with your payment provider, but it helps us investigate promptly (including carrier investigations and warranty review). We may contest improper or fraudulent chargebacks and seek recovery of related fees where permitted.
3.10 Third-Party Terms. Use of PayPal, Apple Pay, Google Pay, Shopify Pay, or other providers is subject to their terms.


SECTION 4 – SHIPPING POLICY

4.1 Handling Time & Cutoff. Standard handling time is 3 business days; order cutoff is 5:00 PM EST.
4.2 Methods & Timeframes.
(a) Standard Free Shipping: estimated 15–20 business days after order placement (inclusive of production/processing time).
(b) Priority Processing + Free Shipping: estimated 10–20 business days after order placement (expedited production priority).
4.3 Made to Order. Many products enter a production queue. Intricate designs and made-to-order items may require additional time. Tracking may not show movement during production and/or initial carrier scans.
4.4 Address Accuracy. You must provide accurate shipping details. We are not responsible for lost/unclaimed parcels due to incorrect addresses provided by you.
4.5 Damage Protection (Optional Add-On). For $9.95, shipping protection may be added at checkout. If loss/damage occurs and the claim is approved under the shipping protection terms, we will provide a replacement or other remedy as determined by us. The fee is non-refundable.
4.6 International Shipping. We ship to many international destinations. Customs duties/taxes may apply and are your responsibility.
4.7 Delays. Couriers may experience delays due to weather, holidays, operational issues, or customs processes.
4.8 Risk of Loss & Title. Unless prohibited by law, title and risk transfer to you upon our delivery of goods to the first carrier (FOB shipping point). For EU/UK consumers, risk passes upon actual delivery to you in accordance with mandatory law.
4.9 Delivery Issues. If tracking shows “delivered” but you have not received your package, you must (a) check alternate delivery locations, (b) contact the carrier promptly, and (c) contact us so we can investigate. Certain claims may require documentation and packaging retention under our Warranty Policy.


SECTION 5 – PRODUCTS OR SERVICES

5.1 Availability. Some items are available exclusively online and may be limited in quantity. Returns/exchanges follow our Return Policy.
5.2 Display Accuracy. We attempt accurate imagery, but cannot guarantee color accuracy on all screens.
5.3 Right to Limit/Discontinue. We may limit sales by person, region, or jurisdiction and discontinue products at any time.
5.4 Specs & Tolerances. Many items are handcrafted. Minor variations (finish, patina, dimension tolerances, grain, texture) are normal and not defects.


SECTION 6 – ACCURACY OF BILLING & ACCOUNT INFORMATION

6.1 Order Review. We may refuse or limit orders per customer, account, credit card, or address; we may notify you via the email/phone provided.
6.2 Accurate Info. You agree to provide current, complete, and accurate account and payment info and promptly update it.
6.3 Anti-Fraud. Orders may be screened for fraud. We may request identity/address verification if risk is detected and may cancel or hold fulfillment if verification is not provided.


SECTION 7 – OPTIONAL TOOLS

Access to third-party tools is provided “as is” and “as available,” without warranties or endorsements. Use is at your own risk.


SECTION 8 – THIRD-PARTY LINKS

We are not responsible for third-party content, products, or services. Review their policies before transacting.


SECTION 9 – USER COMMENTS, FEEDBACK & OTHER SUBMISSIONS

You grant us a nonexclusive, worldwide, royalty-free license to use, edit, publish, and distribute any voluntary content you submit (such as reviews, testimonials, comments, suggestions, or other creative materials) in any medium, without restriction.

This license does not apply to your personal or transactional information (such as your shipping address, billing address, email, or phone number). Those details are handled in accordance with our Privacy Policy. We do not sell your personal contact or shipping details.

You agree not to submit unlawful, defamatory, offensive, or harmful material (including malware). We may remove or edit submissions at our discretion, and we are not liable for user-generated content.


SECTION 10 – PRIVACY POLICY (GDPR + CCPA/CPRA)

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share personal information. For warranty and shipping claims, we may share claim documentation (including photos/videos) with suppliers, carriers, and insurers strictly for claim resolution, as further described in the Privacy Policy.


SECTION 11 – COOKIE POLICY & DATA PROTECTION ADDENDUM

We use cookies, pixels, tags, and similar technologies for site functionality, analytics, personalization, and advertising. Consent tools may be provided for non-essential cookies where required by law. Additional details are provided in our Privacy Policy and cookie preferences tool (where available).


SECTION 12 – RETURN & REFUND POLICY

Your purchases are subject to our Return Policy. The Return Policy governs return eligibility, restocking fees, return shipping responsibilities, return timelines, and refund processing.

12.1 Defects, Damages & Warranty Claims. Defective items and shipping damage claims are governed by our Warranty Policy and its documentation requirements.
12.2 Pre-Installation Testing. Fixtures must be tested before installation. Installed products may have limited remedies depending on eligibility under the Warranty Policy.
12.3 Customer Transportation. We do not cover damages caused by the customer when transporting items to multiple locations after delivery.


SECTION 13 – PROHIBITED USES

In addition to other prohibitions, you must not: (a) break the law; (b) solicit unlawful acts; (c) violate regulations; (d) infringe IP; (e) harass/abuse/defame; (f) submit false information; (g) upload malware; (h) collect/track others’ info; (i) spam/phish/crawl/scrape; (j) act obscenely; (k) bypass security; or (l) perform high-volume automated access that degrades Service.


SECTION 14 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

The Service and products are provided “as is” and “as available” without warranties except as expressly stated in our Warranty Policy or as required by law. We do not guarantee uninterrupted, timely, secure, or error-free Service.

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special, or punitive damages. Where limits are not allowed, our liability is capped to the maximum permitted by law.


SECTION 15 – INDEMNIFICATION

You will indemnify, defend, and hold harmless Residence Supply and its affiliates, officers, directors, employees, agents, licensors, and suppliers from claims and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, violation of the law, improper installation, or misuse of the Service or products.


SECTION 16 – SEVERABILITY

If any provision is unlawful or unenforceable, it will be enforced to the fullest extent possible, and the remainder will continue in effect.


SECTION 17 – TERMINATION

We may suspend or terminate access at any time if you breach these Terms. You remain liable for amounts due up to the time of termination. You may stop using the site at any time.


SECTION 18 – ENTIRE AGREEMENT

These Terms and Policies constitute the entire agreement between you and us and supersede prior agreements. Headings are for convenience only. Any ambiguities shall not be construed against the drafting party to the fullest extent permitted by law.


SECTION 19 – GOVERNING LAW, DISPUTES & ARBITRATION

19.1 Governing Law. These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of laws.

19.2 Informal Resolution First. You must contact us at help@residencesupply.com within 30 days of the issue so we can attempt to resolve it.

19.3 Evidence & Claims Documentation. For warranty/shipping damage claims, you may be required to provide documentation (including photos/videos and packaging evidence) consistent with our Warranty Policy. Failure to provide required documentation may limit or prevent a remedy.

19.4 Arbitration & Venue. Except where prohibited by law, disputes will be resolved by binding arbitration on an individual basis under the AAA Consumer Arbitration Rules in Miami-Dade County, Florida. Either party may seek injunctive relief in a court of competent jurisdiction for intellectual property rights or unauthorized use.

19.5 Class Action & Jury Waiver. To the extent permitted by law, you waive the right to participate in class actions, consolidated claims, or jury trials. Disputes must be brought in your individual capacity only.

19.6 EU/UK Consumers. If you reside in the EU/UK, mandatory consumer laws and courts of your domicile may apply; arbitration and class action waivers may not apply to you.


SECTION 20 – CHANGES TO TERMS

We may update these Terms by posting changes on the site; continued use after posting constitutes acceptance.

SECTION 22 – SMS/MMS (TEXT) MARKETING TERMS

22.1 Consent. By providing your mobile number during checkout, subscription forms, or keywords, you consent to receive recurring SMS texts (order updates, cart reminders, promotions). Consent is not a condition of purchase.
22.2 Opt-Out/Help. Reply STOP to unsubscribe; HELP for assistance. Message/data rates may apply; message frequency varies.
22.3 Carriers Not Liable; Short Code Changes. Wireless carriers are not liable for delayed/undelivered messages; we may change short codes/phone numbers upon notice.
22.4 Your Responsibility. Keep your number current; if you change numbers, resubscribe to continue receiving messages.
22.5 Privacy & Mobile Information Sharing. We will not share your personal information for marketing/promotional purposes. Mobile information will not be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.


SECTION 23 – WARRANTIES & EXTENDED PROTECTION

23.1 Governing Warranty Policy. All warranty coverage, exclusions, claim requirements, and remedies are governed exclusively by our Warranty Policy (standalone page), which is incorporated into these Terms by reference.

23.2 Remedies. Where eligible, remedies may include replacement parts, component replacement, product replacement, partial refund, or full refund, depending on the nature of the issue, product condition, and the specific circumstances of the claim, as evaluated in accordance with the Warranty Policy. The appropriate remedy is determined based on documented assessment of the issue, including available evidence, product status, and applicable policy terms, with the goal of providing a reasonable and proportionate resolution. Labor or installer costs are not covered unless required by law.

23.3 Exclusions. Wear/tear, improper installation, misuse, unauthorized repairs, and cosmetic variations consistent with handcrafted processes are excluded, as further described in the Warranty Policy.


SECTION 24 – PRODUCT SAFETY, CARE & INSTALLATION

24.1 Compliance. Electrical products must be installed per local building/electrical codes by qualified personnel.
24.2 Customer Duty. Verify compatibility (e.g., voltage, box type, dimmer compatibility) before installation. Damage from incorrect installation is excluded from warranty coverage.
24.3 Product Care & Maintenance.

  • Clean using only a soft microfiber cloth.

  • Avoid harsh cleaning agents, solvents, or abrasive pads.

  • Do not expose fixtures to direct/prolonged sunlight if it may cause fading/warping/surface deterioration.

  • Regular light cleaning is recommended to maintain finish quality.

24.4 Installation & Fitting. Some products may be suitable for installation by individuals proficient in DIY; however, other products are more complex and require professional installation. Installation instructions are available on our website where applicable, but we strongly recommend using qualified professionals for complex installations.

Electrical products must be installed in accordance with applicable United States building and electrical codes and by a licensed and qualified electrician.

If you engage a professional installer, you are responsible for ensuring that all products have been received, inspected, and verified as correct and undamaged prior to scheduling installation.

Residence Supply is not responsible or liable for labor costs, installer fees, or other expenses incurred due to delivery delays, packing errors, incorrect items, or product issues, except where required by law.



SECTION 25 – EXPORT, SANCTIONS & GEOGRAPHIC RESTRICTIONS

You agree to comply with all applicable export controls and sanctions. You may not purchase or use products in prohibited territories or for prohibited end-uses.


SECTION 26 – FORCE MAJEURE

We are not liable for delays/failures caused by events beyond our reasonable control (e.g., natural disasters, labor disputes, epidemics, carrier failures, government actions).


SECTION 27 – ASSIGNMENT

We may assign these Terms (in whole or in part) without notice in connection with a merger, acquisition, asset sale, or by operation of law. You may not assign without our written consent.


SECTION 28 – NOTICES & ELECTRONIC COMMUNICATIONS

You consent to receive notices electronically (email, site postings). Keep your contact details current. Legal notices to us must be emailed to help@residencesupply.com and mailed to our Miami address.


SECTION 29 – PRICES, PROMOTIONS & ERRORS

Prices and promotions may change without notice. We may correct errors, inaccuracies, or omissions (including after order submission) as permitted by law.


SECTION 30 – PROGRAM-SPECIFIC TERMS (Membership/Wholesale/Affiliate)

If you join our Membership Program, Wholesale Program, or Affiliate Program, additional program-specific terms apply (presented at enrollment). In any conflict, program terms control for that program.

30.1 Membership Program — Billing, Renewal and Benefits

30.1.1 Term and Automatic Renewal.
Memberships are sold on a recurring subscription basis with a term of six (6) months. Your membership will automatically renew every six (6) months until it is cancelled.

30.1.2 Payment Authorization.
By purchasing a membership, you authorize Residence Supply to charge the payment method on file for the then-current membership fee every six (6) months, on or after each renewal date, until you cancel. Where a renewal date falls on a calendar day that does not exist in the renewal month, the charge will occur on the last day of that month.

30.1.3 Disclosure at Purchase.
The applicable membership fee, billing frequency, renewal terms and included benefits are disclosed to you at the time of purchase and in your order confirmation.

30.1.4 Renewal Reminders.
We will send reminders to the email address on your account before each automatic renewal, beginning approximately thirty (30) days before the renewal date. It remains your responsibility to cancel before your renewal date if you do not wish to be charged for the next term.

30.1.5 Member Discount.
Active members receive 20% off eligible purchases. To receive the discount you must be signed in to the account that holds the membership. On our online store the member discount is offered to you at checkout and applied to your order when you claim it. On orders prepared for you by a sales representative, the discount is applied to the order by that representative. You should confirm the discount appears on your order before completing your purchase. If a discount has not applied correctly, contact help@residencesupply.com. Purchases completed as a guest, or while signed in to a different account, will not receive the member discount. Except as described in 30.1.6, the member discount does not combine with other promotional codes or offers. Certain products, categories, custom and made-to-order items may be excluded. Membership does not guarantee product availability or pricing.

30.1.6 Promotional Sale Events.
During promotional sale events, members may receive the event discount together with an additional member discount. The codes and amounts applicable to each event are communicated at the time of that event and may vary between events.

30.1.7 Design Consultation.
Active members may request an interior design consultation during their membership term. Consultations are delivered remotely by our design team and cover design and aesthetic guidance, including product selection, specification support, and layout and elevation review.

30.1.8 Consultation Scheduling and Availability.
Consultations are provided on request and are scheduled according to the availability of our design team. We will arrange a consultation whenever a designer is available. If a date we offer does not suit you, we will work with you to find an alternative that fits both your availability and the designer’s. We do not guarantee that a consultation will be available on any particular date or within any particular timeframe, and availability may be limited during holiday periods, periods of peak demand and periods of reduced staffing. Consultations not used within a membership term do not roll over to a subsequent term.

30.1.9 Scope of Consultations.
Consultations provide design and aesthetic guidance only. They do not include installation instruction, electrical or technical troubleshooting, engineering advice, or approval or certification of any design for construction, permitting or code compliance. Product installation support is provided separately through our White Glove Installation Services. Design recommendations are advisory; responsibility for verifying suitability, measurements, compliance and fitness for purpose remains with you and your contractor.

30.1.10 Consultation Limits.
Unless otherwise agreed in writing, each membership term includes:

  • Rooms: up to two (2) rooms per membership
  • Revisions: up to two (2) revisions per room
  • Design Concepts: up to one (1) design concept per space

30.1.11 Fair Use.
We reserve the right to modify, limit or refuse consultation services in cases of excessive or abusive usage falling outside these limits, or where requests fall outside the scope described in 30.1.9.

30.1.12 Cancellation.
You may cancel your membership at any time through your account on our website, or by contacting customer support at help@residencesupply.com. Cancellation takes effect at the end of your current billing period.

30.1.13 Post-Renewal Cancellation.
If you cancel after a renewal charge has been processed, your membership will remain active until the end of that billing period.

30.1.14 Pausing.
You may request that billing on your membership be paused. A paused membership is not charged and retains the member discount until it is resumed or cancelled.

30.1.15 Refunds.
If you have not used your membership, the fee is refundable. If you have not placed any order using your member discount during the current term, you may request cancellation and a refund of the membership fee at any time during that term by contacting help@residencesupply.com.

Once the member discount has been applied to an order and the return period for that order has elapsed, the membership fee is non-refundable. Cancelling a membership that has been used stops future charges and does not entitle you to a refund of the current billing period. Where no cancellation is requested, the membership renews automatically as described in 30.1.1.

30.1.16 Failed Payments.
If a renewal payment fails, we may re-attempt the charge and may suspend or terminate your membership and the associated benefits until payment is successfully processed.

30.1.17 Changes to Pricing, Frequency and Benefits.
We may change membership pricing, billing frequency and benefits at any time. A change to pricing or billing frequency will not affect an existing membership for as long as that membership remains continuously active. If a membership ends for any reason — including cancellation, expiry or non-payment — any membership purchased afterwards is subject to the fee, billing frequency and terms then in effect. Previous rates cannot be reinstated. Where required by law, we will provide advance notice of material changes affecting an active membership.

30.1.18 Account and Access.
Memberships are non-transferable and are tied to the account used at the time of purchase.

30.1.19 Account Recovery.
If you lose access to your account, you may request recovery by contacting support. We may require identity verification before granting access to a new email or account.

30.1.20 Privacy.
Any personal information collected for verification will be handled in accordance with our Privacy Policy.

30.1.21 Modifications.
We reserve the right to update or modify these Terms & Conditions at any time. Changes will be effective upon posting to our website or upon notice to you, where required by law.

30.1.22 Governing Law.
These Terms & Conditions are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

30.2 Trade Program.

30.2.1 Eligibility & Approval.
Enrollment in the Trade Program is subject to review and approval at our sole discretion. We reserve the right to approve, deny, or revoke Trade Program membership at any time.

30.2.2 Discount Structure.

  • Bulk Order Discounts: Discount percentages for bulk purchases are determined based on factors including order quantity, product type, and shipping terms. Final discount rates will be communicated and confirmed prior to order placement.
  • Project-Based Discounts: Project discounts may be offered on a case-by-case basis and are subject to evaluation and approval. Additional documentation may be required to qualify.
  • Promotions & Sales: Trade Program discounts and benefits may be modified, limited, or excluded during promotional events, sales, or special campaigns. We reserve the right to determine discount applicability in such cases.

30.2.3 Account Activity Requirements.
To maintain active Trade Program status, members must complete at least one qualifying purchase per calendar year. Qualifying purchases exclude sample orders. Accounts that do not meet this requirement may be designated as inactive and may require reapplication or reapproval to regain active status.

30.2.4 Communications & Marketing Consent.
By applying to the Trade Program, you agree to receive communications related to your account, including transactional and program-related messages. With your explicit consent where required by applicable law, you may also receive marketing communications via email and SMS. You may opt out of marketing communications at any time by following the unsubscribe instructions provided in such messages or by contacting us directly.

30.2.5 Program Modifications.
We reserve the right to modify, suspend, or terminate the Trade Program, including its benefits, eligibility criteria, or discount structure, at any time. Any changes will be effective upon posting or upon notice to members, where required by law.

30.2.6 General Terms.
Trade Program benefits are non-transferable and intended solely for approved members. Misuse of the program, including resale abuse or misrepresentation, may result in termination of membership.

30.2.7 Governing Law.
These Terms & Conditions are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
